Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LawDep platform ("the Service"), operated by LawDep. By subscribing to or accessing the Service you agree to these Terms.

LawDep is a legal operations management platform that helps corporate legal teams manage contracts, entities, IP, litigation, legal holds, and regulatory filings, with an optional AI copilot that drafts and reviews documents.

The Service is not a law firm, does not provide legal advice, and is not a substitute for the judgment of a qualified attorney. All AI-generated output is marked as such and must be reviewed by qualified counsel before it is relied upon.

You must be at least 18 years old and authorized to bind the organization you represent. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Workspaces are provisioned by LawDep as part of onboarding.

You retain all rights to the data, documents, and content you upload to the Service ("Your Data"). You grant LawDep a limited license to store, process, and display Your Data solely to provide the Service to you.

You represent that you have the rights to all data you upload and that you will not upload data that is unlawful, infringing, or contains trade secrets you are not authorized to share with your own legal team.

You agree not to: reverse engineer the Service, attempt to access another tenant’s data, use the Service to send unsolicited messages, or use the Service in violation of applicable law.

Fees are agreed per-workspace in your subscription agreement or order form. Unless otherwise stated, fees are invoiced annually in advance and are non-refundable except as required by law. You are responsible for your own LLM provider costs if you choose to bring your own API key.

Either party may terminate the subscription as set out in your agreement. Upon termination, you may export Your Data for 90 days; after that period Your Data is deleted from primary storage.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LEGALSAAS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALSAAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

We may update these Terms from time to time. We will notify you of material changes. Continued use of the Service after changes take effect constitutes acceptance.
